1. Acceptance of Terms

By registering for an account, purchasing a product, or otherwise using the Services, you agree to these Terms and to our Policies & Procedures. If you do not agree, you may not register or use the Services.

You must affirmatively confirm at registration that you have read and understand these documents. Registration cannot be completed without that confirmation.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract. You are responsible for ensuring that your participation is lawful where you live.

The Services are not available where prohibited by law, and you are responsible for compliance with all applicable local laws, including those governing direct selling and digital assets.

3. Your Account

You are responsible for the accuracy of the information you provide and for keeping your login credentials and any two-factor authentication device secure. You are responsible for all activity that occurs under your account.

Notify us immediately of any unauthorized use. We may suspend or close accounts that contain false information or that are used in violation of these Terms.

4. The Partner Program

Nelo offers an optional partner (affiliate) program. Becoming a partner does not create an employment, agency, franchise, or partnership relationship. Partners are independent and are not authorized to act on behalf of Nelo.

Participation, qualification, and compensation are governed by the Compensation Plan and the Policies & Procedures, each of which forms part of this agreement.

5. Orders, Pricing & Digital-Asset Payments

Product prices and package details are shown at checkout. Payments are accepted in USDT on the supported network (BEP-20 / Binance Smart Chain) only. You are responsible for sending the correct amount on the supported network to the address shown.

Digital-asset transactions are generally irreversible. Nelo is not responsible for funds sent to the wrong address, on an unsupported network, or in the wrong amount. Cryptocurrency values can be volatile; you accept the risks of using digital assets.

6. Commissions & Internal Wallets

Eligible commissions and bonuses are recorded to your internal commission wallet as an account balance. Balances are denominated in U.S. dollars and represent amounts payable subject to these Terms, the Compensation Plan, and applicable qualification and activity rules.

Withdrawals to an external wallet are subject to a withdrawal fee as disclosed in the Policies & Procedures. We may withhold, adjust, or reverse amounts credited in error, obtained through prohibited conduct, or attributable to refunded or charged-back orders.

7. No Income Guarantee

Nelo makes no guarantee of income. Any earnings or income statements are illustrations and are not a promise of actual or potential earnings. Results depend on individual effort, skill, market conditions, and other factors, and many partners earn little or no income.

Nothing in the Services is investment, financial, tax, or legal advice. Products are sold for personal use and resale, not as an investment.

8. Prohibited Conduct

You agree not to:

• Make false, misleading, or unauthorized income, product, or health claims;
• Use the Services for unlawful purposes, fraud, money laundering, or to evade sanctions;
• Misrepresent Nelo, its products, or the Compensation Plan;
• Attempt to manipulate the compensation system, create fake accounts, or stack positions to obtain unearned commissions;
• Infringe intellectual-property rights or harvest other users' data.

9. Intellectual Property

The Nelo name, logos, content, and software are owned by Nelo or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive license to use approved marketing materials solely to promote the Services in accordance with the Policies & Procedures.

10. Disclaimers & Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, Nelo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost commissions, or lost digital assets. Our total liability for any claim is limited to the amount you paid us in the three months before the claim arose.

11. Indemnification

You agree to indemnify and hold Nelo harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your unauthorized representations, or your violation of law or the rights of others.

12. Termination

You may close your account at any time. We may suspend or terminate your account or partner position for any violation of these Terms or the Policies & Procedures, with or without notice. On termination, unqualified or disputed balances may be forfeited as permitted by law.

13. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction designated by Nelo [PLACEHOLDER — to be set by counsel], without regard to conflict-of-laws rules. Disputes will be resolved as set out in this section [PLACEHOLDER — arbitration / venue terms to be finalized by counsel].

14. Changes to These Terms
